Why AccountingPV

Accounting experts who know Puerto Vallarta

Entity Selection Has Long-Term Consequences

SA de CV, SAPI, and SAS each have different shareholder rules, profit distribution mechanics, and compliance burdens. We evaluate your business model, ownership structure, and growth plans before recommending an entity — not after.

We Coordinate the Full Formation Process

Company formation in Mexico involves the Ministry of Economy, a notary public, SAT, and often IMSS. We manage the entire sequence, so you do not have to figure out which step comes first or chase different offices.

No Hidden Gaps After Formation

Many formation services hand you a company and disappear. We transition directly into ongoing accounting and compliance — you start your business with a functioning accounting system, not just a corporate certificate.

Bilingual Process from Day One

Every document is explained in English before you sign it in Spanish. You will understand your company's articles, bylaws, and SAT obligations — not just receive them.

FAQ

Common questions

SA de CV (Sociedad Anónima de Capital Variable) is the most common corporate form — familiar, flexible, and widely accepted by banks and government agencies. SAPI (Sociedad Anónima Promotora de Inversión) offers more flexibility for foreign shareholders and equity structures, making it popular for investor-backed companies. SAS (Sociedad por Acciones Simplificada) is a low-cost simplified corporation for small businesses with no more than 5 shareholders and revenue under approximately $5 million MXN annually.

The full process typically takes 4 to 8 weeks: 1 week for the Ministry of Economy name approval, 1 to 2 weeks for the notary to draft and execute the deed, and 2 to 4 weeks for SAT registration and activation. A SAS can be formed faster through the online government portal.

Yes, in most industries. Foreign investors can own 100% of a Mexican SA de CV or SAPI without restrictions in the majority of business sectors. Some industries — media, aviation, certain financial services — have foreign ownership caps. We verify your industry before proceeding.

From the first month of operations, an SA de CV must file monthly ISR provisional declarations and monthly IVA declarations (due by the 17th of each following month). If you have employees, IMSS payments are due monthly and CFDI nómina must be issued with every payroll. We set all of this up during formation.

Yes. Mexican tax law requires business income and expenses to flow through a registered corporate bank account. SAT cross-references bank deposits with declared income. Operating through a personal account creates significant tax and legal risk. We refer you to banking partners who work with new foreign-owned companies.

Requirements vary by business type, but most businesses need a municipal business license (licencia de funcionamiento) from the Puerto Vallarta or Bahía de Banderas municipality, a health permit for food businesses, and possibly state or federal permits depending on the industry. We guide you through the requirements specific to your business.
