1. Service Description
AccountingPV provides professional accounting, tax preparation and filing, payroll administration, IMSS/INFONAVIT compliance, and financial consulting services to businesses and individuals in Mexico. Services are rendered by or under the supervision of licensed (Contador Publico Certificado) professionals.
2. Engagement and Commencement
A professional services engagement begins only upon (a) the client's execution of a written engagement letter specifying the scope of services, and (b) receipt of the agreed retainer or first payment. No advisory or professional relationship is created by browsing this website or submitting a contact form.
Any preliminary advice provided before a signed engagement letter is general in nature and does not constitute professional tax or accounting advice.
3. Client Obligations
To enable us to deliver accurate and timely services, clients agree to:
- Provide accurate, complete, and timely information, documents, and records when requested.
- Deliver monthly accounting documents (CFDIs, bank statements, payroll records) no later than the 5th business day of the following month.
- Notify AccountingPV promptly of any material changes to business structure, tax regime, or compliance status.
- Pay invoices within 30 calendar days of the invoice date.
- Cooperate fully with any SAT audit or review in which AccountingPV provides assistance.
4. Payment Terms
- Monthly retainer fees are due on the 1st of each month for services to be rendered that month.
- Project-based fees are invoiced upon completion or at milestones defined in the engagement letter.
- Accounts overdue by more than 30 days will be placed on hold; AccountingPV reserves the right to suspend services until the account is current.
- Overdue balances accrue interest at the rate of 1.5% per month (18% per annum) from the due date.
5. Limitation of Liability
AccountingPV's professional obligation is to exercise reasonable care and professional judgment. However, AccountingPV is not liable for:
- SAT penalties, surcharges, or back taxes arising from inaccurate, incomplete, or late information provided by the client.
- Losses resulting from the client's failure to deliver documents within agreed timelines.
- Indirect, incidental, or consequential damages of any nature.
AccountingPV's maximum aggregate liability for any claim arising from a specific engagement is limited to the fees paid by the client to AccountingPV in the three calendar months immediately preceding the event giving rise to the claim.
6. Confidentiality
AccountingPV maintains strict confidentiality over all client financial data, tax information, business records, and communications. We will not disclose client information to any third party except:
- As required or authorized by SAT, IMSS, INFONAVIT, or other Mexican government authorities.
- As ordered by a competent court of law.
- As expressly authorized in writing by the client.
- To sub-contractors or processors who are bound by equivalent confidentiality obligations.
7. AI Disclosure
We may use AI-assisted tools in service delivery, including drafting, research, and document preparation. All AI-generated content is reviewed and approved by a licensed accounting professional before delivery to clients. Client financial data is never used to train third-party AI models.
8. Termination
Either party may terminate an ongoing engagement by providing 30 days written notice to the other party. Upon notice of termination:
- All outstanding balances become immediately due and payable.
- AccountingPV will deliver all client-owned documents and records within 15 business days of the termination date.
- AccountingPV is not responsible for deadlines that fall within the notice period unless specifically agreed in writing.
9. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Mexico and, to the extent applicable, the State of Jalisco. The parties agree to attempt good-faith resolution of any dispute before initiating formal proceedings.
Any dispute not resolved informally within 30 days shall be submitted to binding arbitration in Puerto Vallarta, Jalisco, in accordance with the rules of the Centro de Arbitraje de Mexico (CAM). Each party bears its own legal costs unless the arbitrator determines otherwise.
